CONSTITUTION

 

 

NORTH CENTRAL DISTRICT OF CJSA

 

 

ARTICLE I

 

THE NORTH CENTRAL DISTRICT OF CJSA SHALL BE GOVERNED BY A BOARD OF DIRECTORS AND BYLAWS. THIS CONSTITUTION SHALL SUPERSEDE ANY AND ALL PREVIOUSLY ADOPTED CONSTITUTIONAL TYPE ITEMS.

 

ARTICLE II

 

EACH CLUB SPONSORING A TEAM OR TEAMS WITHIN THE NORTH CENTRAL DISTRICT SHALL DESIGNATE A MEMBER OF THE ORGANIZATION WHO SHALL SERVE AS A MEMBER OF THE BOARD OF DIRECTORS. IN ADDITION, EACH CLUB OR ORGANIZATION SHALL NAME AN ALTERNATE WHO SHALL SERVE AS A MEMBER OF THE BOARD OF DIRECTORS IN THE ABSENCE OF THE DESIGNATED MEMBER. THE NAME OF THE DESIGNATED BOARD MEMBER, ALTERNATE AND CLUB PRESIDENT SHALL BE FILED WITH THE SECRETARY AND SHALL BE THE ONLY MEMBERS WHO MAY CAST VOTES REPRESENTING THAT CLUB OR ORGANIZATION. A CLUB MAY ALSO DESIGNATE AN ALTERNATE, FOR THE PURPOSES OF VOTING AT A SINGLE MEETING, BY SUBMITTING A WRITTEN LETTER FROM THE CLUB PRESIDENT TO THE DISTRICT VP, INFORMING HIM OF THE ALTERNATE WHO IS TO VOTE FOR THE CLUB.

 

ARTICLE III

 

THE NUMBER OF VOTES THAT EACH DIRECTOR MAY CAST SHALL BE BASED ON THE TOTAL NUMBER OF PLAYERS REGISTERED BY HIS/HER ORGANIZATION DURING THE PRESENT OR PRIOR SEASONAL YEAR, WHICHEVER IS GREATER.

FOR CHANGES TO THE CONSTITUTION OR BYLAWS, THERE SHALL BE A TWO THIRDS MAJORITY OF AFFIRMATIVE VOTES CAST AS WELL AS A SIMPLE MAJORITY OF ATTENDING CLUBS THAT SUPPORT THE CHANGE.

FOR CHANGES TO THE RULES, THERE SHALL BE A SIMPLE MAJORITY OF AFFIRMATIVE VOTES CAST AS WELL AS A SIMPLE MAJORITY OF ATTENDING CLUBS THAT SUPPORT THE CHANGE.

WITH THE EXCEPTION OF THE ELECTION OF THE DISTRICT VICE PRESIDENT, THE ELECTION OF DISTRICT OFFICERS, DELINEATED IN THE BYLAWS OF CJSA AND THE BYLAWS OF THE NORTH CENTRAL DISTRICT, SHALL REQUIRE A SIMPLE MAJORITY OF VOTES CAST AS WELL AS A SIMPLE MAJORITY OF ATTENDING CLUBS. THE ELECTION OF SUB-OFFICERS, E.G., COMMITTEE MEMBERS, SHALL BE BY THE SAME VOTING PROCEDURE.

THE ELECTION OF THE DISTRICT VICE PRESIDENT, GOVERNED BY THE BYLAWS OF CJSA, SHALL BE BY A SIMPLE MAJORITY OF 'CJSA VOTES' CAST. 'CJSA VOTES' ARE DEFINED AS ONE(1) VOTE FOR EACH COMPLETE INCREMENT OF FIFTEEN (15) PLAYERS REGISTERED BY A CLUB DURING THE PRESENT OR PRIOR SEASONAL YEAR, WHICHEVER IS GREATER, PLUS ONE(1) VOTE EACH FOR EACH CJSA BOARD OF DIRECTOR MEMBER.

 

ARTICLE IV

 

VOTES MAY ONLY BE CAST BY THOSE DEFINED IN ARTICLE II OF THE CONSTITUTION, ANY ONE OF WHOM MUST BE PRESENT AT THE MEETING. AT THE REQUEST OF THE VICE PRESIDENT, OR AFTER A SECONDED MOTION OF ANY REPRESENTATIVE, THERE SHALL BE A ROLL CALL VOTE ON ANY ITEM SUBJECT TO A VOTE.

 

ARTICLE V

 

THE DISTRICT VICE-PRESIDENT, ELECTED PURSUANT TO THE BYLAWS OF CJSA, OR, IN HIS/HER ABSENCE THE DISTRICT REPRESENTATIVE TO CJSA, SHALL SERVE AS CHAIRPERSON OF THE BOARD OF DIRECTORS. HE/SHE SHALL HAVE NO VOTE EXCEPT IN THE CASE OF A TIE.

 


ARTICLE VI

 

MEETINGS OF THE BOARD OF DIRECTORS SHALL BE GOVERNED BY ROBERT'S RULES OF ORDER. MINUTES SHALL BE KEPT OF EACH MEETING AND SENT WITHIN 3 WEEKS OF EACH MEETING TO THE VICE-PRESIDENT, MEMBERS OF THE BOARD OF DIRECTORS, AND TO THE DISTRICT OFFICERS (DELINEATED IN THE BYLAWS).

 

ARTICLE VII

 

THE BOARD OF DIRECTORS SHALL MEET NOT LESS THAN TWICE A YEAR IN ACCORDANCE WITH A SCHEDULE OF MEETINGS ADOPTED AT THE ANNUAL GENERAL MEETING. THE ANNUAL GENERAL MEETING OF THE BOARD OF DIRECTORS SHALL TAKE PLACE IN JANUARY OF EACH YEAR. A MEETING SHALL REQUIRE A QUORUM WHICH SHALL BE DEFINED AS A MAJORITY OF APPLICABLE VOTES IN ATTENDANCE WITH A MINIMUM OF EIGHT (8) CLUBS REPRESENTED.

 

ARTICLE VIII

 

AMENDMENTS TO THE CONSTITUTION MAY BE MADE AT THE ANNUAL GENERAL MEETING BY AN AFFIRMATIVE VOTE AS DEFINED BY ARTICLE III. ANY PROPOSED CHANGE TO THE CONSTITUTION MUST BE SUBMITTED TO THE DISTRICT SECRETARY BY NOVEMBER 15 AND DISTRIBUTED TO THE DISTRICT VICE-PRESIDENT, CLUB PRESIDENTS, BOARD MEMBERS, AND DISTRICT OFFICERS BY DECEMBER 1.

1. AT EACH ANNUAL GENERAL MEETING OF THE DISTRICT, THE BOARD OF DIRECTORS SHALL SELECT:

  • A DISTRICT VICE-PRESIDENT, ODD NUMBERED YEARS ONLY
  • A DISTRICT REPRESENTATIVE TO CJSA BOARD OF DIRECTORS
  • A DISTRICT BOYS CLASSIC LEAGUE COMMISSIONER
  • A DISTRICT GIRLS CLASSIC LEAGUE COMMISSIONER
  • A DISTRICT REFEREE ADMINISTRATOR
  • A DISTRICT SECRETARY
  • A DISTRICT TREASURER
  • A DISTRICT REGISTRAR
  • A DISTRICT DISCIPLINARY CHAIRPERSON
  • A DISTRICT SELECT COMPETITION COMMISSIONER
  • A DISTRICT INDOOR CUP CHAIRPERSON
  • A DISTRICT COMMISSIONER FOR PREMIER PLAY
  • A DISTRICT DIRECTORY OF RECREATION SERVICES
  • A DISTRICT DIRECTOR OF COACHING
  • A DISTRICT CHAIRMAN OF THE NORTH CENTRAL DISTRICT PREMIER SOCCER CLUB (NCDPSC); EVEN NUMBERED YEARS ONLY EXCEPT 1999

THE ABOVE SHALL SERVE AS EX-OFFICIO OFFICERS OF THE DISTRICT FOR A PERIOD OF ONE YEAR (EXCEPT THE VICE-PRESIDENT AND THE CHAIRMAN OF THE NCDPSC WHOSE TERMS ARE TWO YEARS EXCLUDING ELECTION IN 1999 WHERE THE TERM OF THE CHAIRMAN OF THE NCDPSC WILL BE ONE YEAR).

2. THE DISTRICT REPRESENTATIVE TO THE CJSA BOARD OF DIRECTORS SHALL ATTEND CJSA BOARD OF DIRECTOR MEETINGS AND SHALL SUCCEED TO THE POWERS OF THE DISTRICT VICE-PRESIDENT IN HIS/HER ABSENCE.

3. THE DISTRICT BOYS AND GIRLS CLASSIC LEAGUE COMMISSIONERS, TOGETHER WITH A THIRD NORTH CENTRAL REPRESENTATIVE WHO SHALL BE APPOINTED BY THE BOARD OF DIRECTORS, SHALL BE MEMBERS OF THE GOVERNING BODY OF THE COMBINED NORTH CENTRAL/CENTRAL LEAGUE. THAT GOVERNING BODY SHALL DECIDE ALL MATTERS INVOLVING JOINT DISTRICT PLAY. IN THE EVENT THAT A MEMBER OF THE NORTH CENTRAL DISTRICT SHALL SERVE AS THE CHAIRMAN OF THE GOVERNING BODY OF THE LEAGUE, A FORTH NORTH CENTRAL REPRESENTATIVE SHALL BE APPOINTED BY THE BOARD OF DIRECTORS.

4. THE DISTRICT REFEREE ADMINISTRATOR (DRA) SHALL COORDINATE ALL DISTRICT ACTIVITIES RELATING TO THE SELECTION, TRAINING, AND ASSIGNMENT OF REFEREES, AND SHALL MAINTAIN A CURRENT LIST OF ALL REFEREES WITHIN THE DISTRICT. HE/SHE SHALL, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, APPOINT ASSISTANT DRAs, AS ARE NECESSARY, TO CARRY OUT THE RESPONSIBILITIES OF HIS/HER OFFICE.

5. THE DISTRICT SECRETARY SHALL RECORD ALL BUSINESS TRANSACTIONS OF THE DISTRICT, ATTEND TO CORRESPONDENCE, SHALL KEEP THE RECORDS OF THE DISTRICT, INCLUDING MINUTES OF THE MEETINGS, LISTS OF CLUB PRESIDENTS, BOARD OF DIRECTORS AND ALTERNATES, DISTRICT OFFICERS AND SUB-OFFICERS, AND CURRENT VOTING STRENGTHS OF EACH CLUB, SHALL HAVE CHARGE OF ALL PROPERTIES OF THE DISTRICT, AND SHALL UPDATE CONSTITUTIONAL, BYLAW, AND RULE CHANGES ANNUALLY.

6. THE DISTRICT TREASURER SHALL HAVE CHARGE OF ALL MONEYS OF THE DISTRICT AND SHALL KEEP A DETAILED ACCOUNT OF INCOME AND EXPENDITURE OF THE DISTRICT. HE/SHE SHALL BE RESPONSIBLE FOR THE COLLECTION AND PAYMENT OF ALL MONEYS INVOLVING DISTRICT SPONSORED ACTIVITIES. THE DISTRICT TREASURER SHALL SUBMIT A STATEMENT OF FINANCIAL CONDITION AT EACH REGULARLY SCHEDULED MEETING OF THE BOARD OF DIRECTORS. HE/SHE SHALL HAVE AUTHORITY TO SIGH CHECKS FOR THE DISTRICT WITH THE DISTRICT VICE-PRESIDENT HAVING ALTERNATE AUTHORITY TO SIGN IF THE TREASURER IS NOT AVAILABLE. THE DISTRICT TREASURER SHALL BE BONDED IN THE AMOUNT OF $100,000.00. THE COST OF THE BOND SHALL BE PAID FOR BY THE DISTRICT. AT EACH AGM A BUDGET SHALL BE SET FOR THE COMING YEAR.

7. THE DISTRICT REGISTRAR SHALL BE RESPONSIBLE FOR THE REGISTRATION AND ROSTERING OF ALL PLAYERS AND TEAMS WITHIN THE DISTRICT. HE/SHE SHALL, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, APPOINT A SPECIAL ASSISTANT REGISTRAR TO ASSIST IN THE PROCESSING OF PREMIER TEAM REGISTRATIONS AND OTHER ASSISTANT REGISTRARS, AS ARE NECESSARY, TO CARRY OUT THE RESPONSIBILITIES OF HIS/HER OFFICE.

8. THE DISTRICT DISCIPLINARY CHAIRPERSON IN COMBINATION WITH THE DISCIPLINARY COMMITTEE (SEE BYLAW # 14) SHALL HANDLE ALL DISCIPLINARY MATTERS WITHIN THE DISTRICT EXCEPT FOR THOSE BEING CONSIDERED BY THE CJSA DISCIPLINARY COMMITTEE, THE DISCIPLINARY COMMITTEE OF THE COMBINED NORTH CENTRAL/CENTRAL LEAGUE, OR A JOINT DISCIPLINARY COMMITTEE OF THE NORTH CENTRAL AND CENTRAL DISTRICTS. HE/SHE SHALL BE THE DISTRICT REPRESENTATIVE TO THE CJSA DISCIPLINARY COMMITTEE.

9 THE DISTRICT SELECT COMPETITION COMMISSIONER SHALL ADMINISTER THE DISTRICT SELECT PROGRAM INCLUDING, BUT NOT LIMITED TO, TRYOUTS AND THE SELECTION OF COACHES. HE/SHE SHALL BE THE DISTRICT REPRESENTATIVE TO THE CJSA DISTRICT SELECT COMMITTEE AND SHALL, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, APPOINT ASSISTANT COMMISSIONERS, AS ARE NECESSARY, TO CARRY OUT THE RESPONSIBILITIES OF HIS/HER OFFICE.

10. THE DISTRICT INDOOR CUP CHAIRPERSON SHALL ADMINISTER THE DISTRICT INDOOR CUP PROGRAM INCLUDING, BUT NOT LIMITED TO, PLAYOFFS. HE/SHE SHALL BE THE DISTRICT REPRESENTATIVE TO THE CJSA INDOOR CUP COMMITTEE.

11. THE DISTRICT COMMISSIONER FOR PREMIER PLAY SHALL BE THE DISTRICT REPRESENTATIVE TO THE CJSA PREMIER BOARD OF GOVENORS.

12. THE DISTRICT DIRECTOR OF RECREATIONAL SERVICES, IN CONJUNCTION WITH THE CORRESPONDING DIRECTORS FROM OTHER DISTRICTS AND THE DIRECTOR OF RECREATION SERVICES FOR CJSA, SHALL DEVELOP, COORDINATE, AND IMPLEMENT PROGRAMS TO AID AND ASSIST RECREATION PROGRAMS, INCLUDING TOPS AND AMERICA'S CUP, WITHIN THE DISTRICT. HE/SHE SHALL BE THE DISTRICT REPRESENTATIVE TO THE CJSA RECREATIONAL SERVICES COMMITTEE AND SHALL, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, APPOINT ASSISTANT DIRECTORS, AS ARE NECESSARY, TO CARRY OUT THE RESPONSIBILITIES OF HIS/HER OFFICE.

13. THE DISTRICT DIRECTOR OF COACHING SHALL CO-ORDINATE AND HOLD COACHING CLINICS IN THE BEST INTERESTS OF FURTHERING EDUCATION OF COACHES, ASSIST CLUBS IN ORGANIZING COACHING CLINICS, AND INFORM THE DISTRICT BOARD OF DIRECTORS AND OFFICERS OF COACHING CLINICS ORGANIZED AND HELD IN OTHER CJSA DISTRICTS AND OTHER STATES.

14. IN THE INTEREST OF MAINTAINING THE INTEGRITY OF THE GAME OF SOCCER AND PROMOTING GOOD SPORTSMANSHIP THEREIN, THE BOARD OF DIRECTORS SHALL ELECT THREE PERSONS, ONE OF WHOM SHALL BE ELECTED CHAIRPERSON (SEE BYLAW # 8), AND TWO ALTERNATES, EXCLUSIVE OF THE DISTRICT VICE-PRESIDENT AND DISTRICT REFEREE ADMINISTRATOR, TO SERVE AS A DISCIPLINARY BOARD. THE DISCIPLINARY BOARD SHALL HAVE THE RESPONSIBILITY OF REVIEWING THE ACTIONS OF PLAYERS, TEAMS, COACHES, AND CLUB OFFICERS FROM THE NORTH CENTRAL DISTRICT AND SHALL HAVE THE AUTHORITY AND DUTY TO IMPOSE SANCTIONS IN ACCORDANCE WITH ADOPTED RULES AS ARE APPROPRIATE AND NECESSARY TO MAINTAIN ORDER, DISCIPLINE, AND THE INTEGRITY OF THE GAME (SEE EXCEPTIONS NOTED IN BYLAW # 8). THE DISCIPLINARY BOARD SHALL REVIEW THE ACTIONS OF PLAYERS, COACHES, TEAMS, AND/OR CLUB OFFICERS IN ANY MATCH TERMINATED PRIOR TO COMPLETION BECAUSE OF RULE VIOLATIONS, ANY COACH OR PLAYER WHO RECEIVES A SECOND OR SUBSEQUENT EJECTION IN ONE SEASON.

15. THE CHAIRMAN OF THE NORTH CENTRAL DISTRICT PREMIER SOCCER CLUB (NCDPSC) SHALL CHAIR A BOARD OF GOVERNORS WHO SHALL ADMINISTER THE NCDPSC IN ACCORDANCE WITH THE CONSTITUTION AND BYLAWS OF THE CLUB. THE NCDPSC SHALL BE AN ADJUNCT OF THE NORTH CENTRAL DISTRICT OF CJSA AND SHALL EXIST FOR THE SOLE PURPOSE OF PROMOTING PREMIER LEVEL PLAY. THE CHAIRMAN SHALL HAVE A TERM OF TWO YEARS AND SHALL BE APPOINTED BY THE DISTRICT VICE PRESIDENT, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, IN EVEN NUMBERED YEARS (EXCEPT 1999 AT WHICH TIME THERE WILL BE AN APPOINTMENT AND APPROVAL FOR A ONE YEAR TERM). IN ADDITION TO THE CHAIRMAN, THE BOARD OF GOVERNORS SHALL HAVE FOUR ASSOCIATE MEMBERS WHOSE TERMS SHALL SPAN TWO YEARS WITH TWO ASSOCIATE MEMBERS APPOINTED BY THE DISTRICT VICE PRESIDENT, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, IN ODD NUMBERED YEARS AND TWO APPOINTED BY THE DISTRICT VICE PRESIDENT, WITH THE APPROVAL OF THE BOARD OF DIRECTORS, IN EVEN NUMBERED YEARS (EXCEPT 1999 AT WHICH TIME ALL FOUR MEMBERS SHALL BE APPOINTED AND APPROVED WITH TWO MEMBERS SERVING ONE YEAR TERMS AND TWO MEMBERS TWO YEAR TERMS).

16. AMENDMENTS TO THE BYLAWS MAY BE MADE AT THE ANNUAL GENERAL MEETING BY AN AFFIRMATIVE VOTE AS DEFINED BY ARTICLE III OF THE CONSTITUTION. ANY PROPOSED CHANGE TO THE BYLAWS MUST BE SUBMITTED TO THE DISTRICT SECRETARY BY NOVEMBER 15 AND DISTRIBUTED TO THE DISTRICT VICE-PRESIDENT, CLUB PRESIDENTS, BOARD OF DIRECTORS, AND DISTRICT OFFICERS BY DECEMBER 1. AMENDMENTS TO THE CONSTITUTION AND BYLAWS OF THE NCDPSC SHALL BE MADE AT THE SAME TIME, AND IN THE SAME MANNER AS THOSE OF THE NORTH CENTRAL DISTRICT. ANY PROPOSED CHANGES TO THE CONSTITUTION AND BYLAWS OF THE NCDPSC MUST BE SUBMITTED TO THE DISTRICT SECRETARY BY NOVEMBER 15 AND DISTRIBUTED TO THE DISTRICT VICE-PRESIDENT, CLUB PRESIDENTS, BOARD OF DIRECTORS, AND DISTRICT OFFICERS BY DECEMBER 1.

17. THE BOARD OF DIRECTORS AT ANY SCHEDULED MEETING MAY ADOPT SUCH RULES AND REGULATION GOVERNING THE CONDUCT OF PLAY, DISCIPLINE, AND THE ADMINISTRATION OF DISTRICT SPONSORED ACTIVITIES AS IT DEEMS NECESSARY AND APPROPRIATE. THE ADOPTION OF RULES AND REGULATIONS SHALL REQUIRE A SIMPLE MAJORITY AS DEFINED BY ARTICLE III OF THE CONSTITUTION.

18. A SPECIAL MEETING OF THE BOARD OF DIRECTORS MAY BE CALLED AT ANY TIME BY THE CHAIRPERSON OF THE BOARD OR AT THE REQUEST OF ANY FIVE DIRECTORS. IF A SPECIAL MEETING IS CALLED, THE SECRETARY MUST NOTIFY THE BOARD OF DIRECTORS, IN WRITING OF THE LOCATION, DATE AND TIME OF THE MEETING, WITHIN 48 HOURS.

19. ALL DISTRICT SPONSORED ACTIVITIES SHALL BE UNDER THE CONTROL OF THE DISTRICT BOARD OF DIRECTORS EXCEPT FOR THOSE ASSIGNED TO THE GOVERNING BODY OF THE COMBINED NORTH CENTRAL/CENTRAL LEAGUE AND TO THE BOARD OF GOVERNORS OF THE NORTH CENTRAL DISTRICT PREMIER SOCCER CLUB. THE FORMATION AND CONDUCT OF THE DISTRICT SPONSORED ACTIVITIES SHALL BE IN ACCORDANCE WITH RULES AND REGULATIONS ADOPTED BY THE BOARD OF DIRECTORS. THE BOARD OF DIRECTORS SHALL APPOINT SUCH PERSONS AS ARE NECESSARY TO CARRY OUT THE RESPONSIBILITIES OF THE DISTRICT SPONSORED ACTIVITIES.
